The Exyte name and logos are trademarks and service marks of Exyte (collectively the “Exyte Trademarks”). Other product and service names and logos used and displayed via the Website may be trademarks or service marks of their respective owners who may or may not endorse or be affiliated with or connected to Exyte. Nothing in this Terms or the Website should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any of Exyte Trademarks displayed on the Website, without our prior written permission in each instance. All goodwill generated from the use of Exyte Trademarks will inure to our exclusive benefit.

  • Transmit materials through the Website that you know or should know contain viruses, Trojan horses, worms, time bombs, cancelbots, or other computer-programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept, or expropriate any system, data, or personal information.

THIS LIMITATION OF LIABILITY SHALL APPLY NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY HEREIN.


 

IN ANY EVENT, EXYTE’S AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OR INABILITY TO USE THE WEBSITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).


 

THE FOREGOING LIMITATIONS ARE FUNDAMENTAL AND MATERIAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN EXYTE AND YOU AND WILL APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND TO THE FULLEST EXTENT PERMITTED BY LAW.


 

11. Indemnification


 

To the fullest extent permitted by law, you shall defend Exyte and its affiliated entities against any demands, claims or actions brought against us or our affiliated entities arising as a result of (i) any breach or violation of these Terms by you, (ii) your use of the Website, or (iii) your infringement or violation of any rights of another (together, "Claims") and you shall release, indemnify, and hold us and our affiliated entities harmless from and against any and all losses, damages, costs and expenses (including attorneys' fees) resulting from any such Claims. We and our affiliated entities have the right, at our expense, to assume exclusive defense against any Claims and all negotiations for settlement and you agree, upon request, to cooperate with us and our affiliated entities in the defense of any such Claims.


 

If you are a California resident, you waive California Civil Code Section 1542, which says: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.” If you are a resident of another jurisdiction, you waive any comparable statute or doctrine.


 

12. Governing Law; Venue


 

If a dispute should arise between you and Exyte, we want to provide you with a resolution that is efficient and cost effective by using our customer service team. If your dispute cannot be resolved through that channel, this section describes how we shall proceed with the resolution of the dispute.


 

To the extent permitted by law, these Terms will be governed and construed in accordance with the laws of Germany without giving effect to any choice of laws principles that would require the application of the laws of a different jurisdiction. You agree that any dispute arising from or relating to these Terms will be brought exclusively in a court of competent jurisdiction located within Stuttgart, Germany, and in no other jurisdiction and each party hereby consents to personal jurisdiction and venue in, and agrees to service of process issued or authorized by, such courts with respect to such disputes. Each party hereby waives any right to a trial by jury in any lawsuit, proceeding or action to enforce or defend any right under these Terms or any amendment, instrument, document or agreement delivered or to be delivered in connection with these Terms and agrees that any lawsuit, proceeding or action will be tried before a court and not before a jury.


 

13. Miscellaneous


 

No Waiver. The failure of Exyte to insist upon strict adherence to any term of these Terms shall not constitute a waiver of such term and shall not be considered a waiver or limit that party’s right thereafter to insist upon strict adherence to that term or any other term of these Terms.


 

Devices and Changes. We do not take responsibility for the performance of devices, including the ongoing compatibility of devices with the Website. You are responsible for all devices and other equipment, software and services necessary for you to access and use the Website. By using the Website, you agree to look solely to the entity that manufactured and/or sold you the device for any issues related to your device. You are responsible for obtaining and maintaining all internet services, mobile service, and other services needed for your access to and use the Website. You are responsible for any charges incurred in obtaining access to the Website. Please check with your ISP for information on possible data usage charges.


 

Assignment. These Terms, and any rights, licenses or obligations you receive hereunder, cannot be transferred or assigned by you, and you will not attempt to do so.
